Our Company was incorporated in January 2010 under the laws of BVI. We were a wholly-owned subsidiary of CHNR, a BVI company with common shares listed on the NASDAQ Capital Market under the symbol “CHNR” and controlled by Mr. Li Feilie. CHNR had two business segments: (i) base metals exploration and mining; and (ii) anthracite coal exploration and mining. The coal division of CHNR, i.e. our Company, was spun off from CHNR, and CHNR’s holdings in our Company’s equity interests were distributed in specie to the then shareholders of CHNR on 22 January 2014.

We are a producer of anthracite coal based in Guizhou province of the PRC. We are primarily engaged in the acquisition, construction and development of anthracite coal mines and the extraction and sale of anthracite coal. Our mining properties consist of four underground anthracite coal mines in Guizhou province, which have all commenced commercial production. As of July 31, 2013, we had total proved and probable coal reserves of approximately 208.87 million tonnes and total permitted annual production capacity of 2.34 million tonnes.
